1. Who these terms are for

These terms apply to you if you administer a Telegram or Discord group that has installed the Kommunity bot and set a treasury wallet, and to anyone who earns a share of Kommunity's platform fee through a referral link. Throughout, "group" means the chat, and "administrator" means the person who ran the setup and provided the treasury address.

They sit on top of the Terms of service, which you also accept. Where the two disagree, these terms govern the affiliate relationship and the general terms govern everything else.

2. You are an independent affiliate

A group is an independent third party. It is not a branch, an agent, an employee, a partner or a joint venturer of Kommunity, and it may not present itself as one.

Nothing here creates a partnership, an agency, an employment relationship or a fiduciary duty. You have no authority to enter obligations on Kommunity's behalf, to make representations about Kommunity, or to use the Kommunity name in a way that suggests Kommunity endorses your calls.

You decide what is posted in your group. Kommunity does not moderate it, does not review it before it appears, does not verify it and does not endorse it. You are solely responsible for it, and for everything your members and designated callers post.

3. Your responsibilities

As an administrator you undertake that:

  • Content. You are responsible for everything published in your group, including calls made by members you designate as callers. You will not post, or knowingly permit, content that is fraudulent, that promotes a token you know to be a fraud, that impersonates anyone, or that breaks the law where you or your members are.
  • Disclosure. You will disclose, clearly and before the call, any payment, allocation or other consideration you or a caller has received for promoting a token, and any position you hold in a token you call. Undisclosed paid promotion is a breach of these terms and, in many jurisdictions, of the law.
  • No promises. Neither you nor your callers may promise, imply or forecast a return, describe Kommunity as risk-free, or describe a token as a sure thing. Kommunity's own copy never does, and neither may anything you publish under the Kommunity brand.
  • No United States audience. You will not market the group, Kommunity, or any call to United States persons, and you will not knowingly onboard members located in the United States or in a comprehensively sanctioned territory.
  • Your members. You will not manipulate a leaderboard, a volume figure, a score or a reward, with multiple accounts, coordinated wash trades, bots, or by any other means.
  • Compliance. You will comply with the law that applies to you — including consumer protection, advertising, financial promotion and sanctions rules — and with the terms of Telegram, Discord and any other platform you use.

4. The treasury wallet and how you are paid

You provide a Solana address at setup. That address is your treasury.

  • Kommunity never controls the treasury. We send to the address you set. We cannot recover a payment sent to an address you entered incorrectly, to an exchange deposit address, or to a wallet you have lost the keys to. Kommunity refuses obvious exchange deposit addresses at setup as a courtesy; that check is not a guarantee, and getting the address right is your responsibility.
  • What you earn. 45 basis points of the input amount of every swap attributed to a call made in your group, out of Kommunity's 1% platform fee.
  • Attribution. A trade is attributed to your group when the member arrived through your group's card or link and the attribution has not expired. Trades made elsewhere, or made outside Kommunity, are not attributed and are not paid.
  • When. Fees are collected on chain, swept once a day and paid out once a day. Amounts below a documented minimum accrue and are paid once they cross it.
  • Realised SOL only. A fee collected in a token that cannot be sold is held, retried, and after thirty days written off with a note in the ledger. Groups are paid on realised SOL only.
  • Public ledger. Every payment to your treasury is published on your group's public treasury page with its transaction signature, so your members can verify it without asking you.

Changing the treasury address requires a confirmation from the administrator who ran the setup. If two administrators disagree, the address stays with the one who ran the setup until it is changed with that confirmation.

5. Referral share

Where a trade has no group — the member arrived through a personal referral link — the same 45 basis points are paid to the referrer instead. A trade pays either a group or a referrer, never both. The same rules on attribution, minimums, timing and realised SOL apply.

Self-referral, referral through accounts you control, and any scheme designed to route your own trades through your own link, are breaches of these terms. The amounts are recovered and the account is closed.

6. Taxes are yours

You are solely responsible for the tax treatment of everything you receive. Payments to your treasury and referral payments are gross amounts. Kommunity does not withhold tax, does not issue tax statements, does not register you anywhere, and does not give tax advice.

Depending on where you and your group are, what you receive may be taxable income, may be subject to value-added tax, and may need to be declared. If you distribute part of your treasury to members or callers, that distribution is between you and them; Kommunity is not a party to it and takes no position on its treatment.

Your full payout history is exportable from your admin dashboard and is published on your public treasury page. Take it to your accountant.

7. Brand

You may use the Kommunity name and marks to say, truthfully, that your group runs on Kommunity. You may not register them, incorporate them into your own name or domain, alter them, or use them in a way that suggests Kommunity endorses a token, a call or your group's performance. We may ask you to stop, and you will.

Kommunity may name your group, show its logo and cite its public numbers when describing the service. Tell us if you would rather we did not.

8. Suspension, automatic rules and appeal

Kommunity may pause or suspend a group at any time when we reasonably believe these terms have been broken, when we are required to, or to protect users. A suspended group stops receiving cards and stops earning; payouts already owed are still paid.

Some suspensions are automatic. A group whose calls repeatedly carry high-risk flags in a short window, or in which a wallet is repeatedly trading against its own caller's calls, is suspended by a rule with no human in the loop. Every automatic suspension is reversible. The administrator can appeal from the appeal page, a founder reads it, and the decision and its reason are recorded.

9. No exclusivity, no minimum, no term

Neither side owes the other exclusivity, a minimum volume or a fixed term. You may remove the bot at any time; doing so pauses the group and pending payouts are still sent. Kommunity may stop offering the affiliate programme, or change the split for future trades, on notice published before the change takes effect. No change is retroactive.

10. Liability and indemnity

Kommunity's liability to you is limited as set out in the Terms of service.

You will indemnify Kommunity against any claim, loss, fine or expense arising out of content published in your group, out of a call made by you or by a caller you designated, out of an undisclosed promotion, out of your tax position, or out of your breach of these terms.

11. Governing law

The law of Switzerland governs these terms, and the courts of Switzerland at Kommunity's registered seat have exclusive jurisdiction, as set out in the Terms of service.
